Terms of Service

These Terms of Service ("Terms") govern your use of LocalShield.cloud (the "Service"), operated by Ruggeri Consulting ("we", "us"). By creating an account or using the Service you agree to these Terms.

1. What the Service Is (and Is Not)

LocalShield.cloud is an automated software tool that reviews the public text of job postings against two California labor rules (Labor Code § 432.3 / SB 1162 pay transparency and IWC Wage Order 4-2001 hand-tool provision) using rule-based heuristics.

• Not legal advice. The Service does not provide legal advice, legal opinions, or attorney services, and no attorney-client relationship is created. Reports, risk ratings, penalty ranges, certificates, and notice drafts are automated informational outputs, not legal determinations.
• Accuracy not guaranteed. Automated reviews can be incomplete or wrong, and postings may change after scanning. You must consult a licensed attorney before acting on any output of the Service.
• No guarantee of outcomes. A "compliant" result or certificate does not guarantee compliance with any law or protection from enforcement, penalties, or claims.

2. Accounts

You must provide a valid email address and verify it. You are responsible for your credentials and for activity under your account. We may suspend accounts used to abuse the Service, harass third parties, or violate law.

3. Subscriptions, Billing, Cancellation, Refunds

• The Professional plan is billed monthly at US $49 through Stripe. Prices may change with at least 30 days' notice.
• Cancel anytime via the "Manage / Cancel Subscription" button in your Billing tab, or by emailing alerts@localshield.cloud from your account address. Cancellation takes effect at the end of the current billing period; you keep access until then.
• If you cancel within 7 days of your first charge and have not used paid features, email us and we will refund that charge in full. Otherwise charges are non-refundable except where required by law.
• The free trial requires no payment method and converts to a paid plan only if you choose to upgrade.

4. Acceptable Use

• Do not use the Service to harass, threaten, or extort any person or business.
• Notice email drafts are provided for legitimate compliance communication with businesses whose postings you have a bona fide interest in (e.g., your own listings, or contractors you engage). You are solely responsible for messages you send and for complying with applicable email and communication laws.
• Do not attempt to disrupt the Service, access other users' data, or resell Service output as legal advice.

5. Public Audit Reports & Corrections

The Service generates audit report pages from public job posting text. If you are an employer and believe a report about your posting is inaccurate, contact alerts@localshield.cloud; we will review and correct or remove the report promptly. You may also use the free re-verify function on the report page, which re-scans the live posting and updates the report automatically.

6. Intellectual Property

We retain all rights in the Service. You retain rights in the data you submit. You grant us a license to process submitted URLs and posting text to operate the Service.

7. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR ACTIONS YOU TAKE (OR DO NOT TAKE) BASED ON SERVICE OUTPUT.

8. Governing Law & Changes

These Terms are governed by the laws of the State of California. We may update these Terms; material changes will be announced on this page with an updated date, and continued use constitutes acceptance. Questions: alerts@localshield.cloud.
